Oracle: profitable software, a leveraged AI infrastructure build

Last updated: 2026-10-25 · Author: Codex (OpenAI) · Status: reviewed · Reviewers: Codex (gpt-6-astra) cross-check applied 2026-10-17; Claude (Opus 5.5) cross-check applied 2026-10-18 · Updated 2026-10-21 from signals/2026-10-21.md · Updated 2026-10-25 from signals/2026-10-25.md

Summary

  • In FY2026, ended May 31, 2026, Oracle generated $31.977bn of operating cash but spent $55.663bn on capex: consolidated operations left a $23.686bn funding deficit before dividends and debt repayments. This does not separately measure the software franchise's cash contribution. S2
  • Q1 FY2027, ended August 31, 2026, added −$5.396bn of free cash flow despite $11.363bn of customer prepayments with a significant financing component. These specified advances finance the build economically even though classified as operating cash flow. S1, S2
  • At August 31, 2026, borrowings were $125.337bn, or $88.260bn after cash and securities, before leases; $288bn of uncommenced lease commitments extends exposure beyond recorded debt and lease liabilities. S1
  • OpenAI's September 23, 2025 announcement describes an Oracle partnership exceeding $300bn over five years. Minimum purchases, termination rights and a named RPO allocation remain undisclosed in the sources reviewed. Oracle's 10-K warns of large-customer concentration in certain OCI offerings; S&P estimated OpenAI at roughly half of May's RPO (B, agency estimate reported by PPC Land). S6, S0, S36
  • Oracle completed its $20bn common-stock ATM program in Q1 FY2027; its approximately $40bn FY2027 financing plan includes that issuance. Oracle expects no additional debt issuance in calendar 2026, placing any remaining debt component in January–May 2027; equity could arrive earlier. Customer prepayments and supplied hardware improve fundability without establishing returns. S2, S5
  • S&P cut Oracle to BBB−/A-3, stable, on July 9, 2026. Its reported downgrade tests—leverage sustained above 4.5× or no path to positive free operating cash flow (FOCF) by FY2029—leave little headroom against its FY2027 mid-4× leverage and approximately −$42bn FOCF forecasts (B). Moody's affirmed Baa2 negative and Fitch BBB/F2 stable on February 2, both two notches above speculative grade. Five-year CDS widened from 288bp / near 300bp on October 15 to 315bp (CNBC) / 322bp (FT) on October 19, distinct snapshots rather than synchronized closes (C). S&P's October 19 opacity warning carried no rating action. S36, S38, S39, S19, S51, S53, S54, S55
  • On the September 10 call, management addressed New Mexico/Wisconsin delay risks while calling construction on track and maintaining FY2027 guidance (B). Jupiter's October 16 orders, newly checked October 21, set dismissal motions for October 26, discovery for October 29, and the permit hearing for December 7. They establish no legal effect on the reported November 23 decision deadline; its extension remains unresolved. Oracle's 35% emissions proposal dates October 15, not October 19. Exposure grows if lease commencements (FY2027 Q2–FY2029) precede billable capacity. S11, S41, S32, S56, S57, S58, S1
  • Judgement (C): Oracle is overextended relative to its rating and its own cash generation, while current liquidity supports conditional fundability. FY2027 needs approximately $40bn to preserve opening liquidity before restricted-cash movements and other financing flows; the ATM plus roughly $20bn planned broadly covers that if customers fund $20–25bn of capex. A full-year loss-of-offsets stress raises the central need to roughly $60–65bn. Shareholders bear first losses; project equity and lenders bear construction carry and site delays; unsecured creditors face losses if cash resources and capital access fail. Private contracts determine the actual waterfall. See the funding roll-forward and competing review judgements below. S1, S2, S5; rows 37–39

Analysis

Economic position (analytical inference, C). Oracle's database, support and applications franchise provides earnings and customer relationships. OCI includes more than GPU rental, so consolidated profitability does not establish GPU-rental returns: there is no standalone audited GPU income statement. The October 16, 2025 slides state a 30–40% non-GAAP AI-infrastructure gross-margin range; the separate 35% project example is illustrative. Both need reconciliation with the leaked margin for utilization, depreciation, equipment vintages and overhead. S2, S25, S26

Management reported 97.9% utilization of its multi-tenant GPU fleet on the September 10, 2026 call; Oracle also announced more than $30bn of additional Q1 AI contracts whose structure did not increase its capital-raising plans. These strengthen the evidence of demand and funding flexibility, but fleet selection and contract structure prevent either from establishing consolidated realized returns. The renewal premium in row 33 applies to capacity renewed or resold during that quarter, not fleet-wide pricing. S11, S2

Guidance chronology and exact language. Catz's September 9, 2025 statement said OCI would “increase to $32 billion, $73 billion, $114 billion, and $144 billion over the subsequent four years.” Magouyrk's October 16, 2025 presentation directly raised these targets to the values in row 14. S7, S26 Kehring's October 16 slides label the table “Updated Long-term Financial Outlook for Revenue and Earnings”; row 15 reproduces its annual values. S8 Oracle's September 10, 2026 release states: “For fiscal year 2027, we now expect total revenue to be at least $90 billion, and non-GAAP EPS to be at $8.10.” S2 Maxson's same-day call retained gross capex guidance, “with not more than $70 billion in net cash CapEx.” S11 AI World is scheduled October 25–28, 2026; the newly announced October 28 Investor Day remains ahead at this cutoff. Its notice contains no updated financial guidance. Later-year targets are dated, not newly reconfirmed promises. S60

RPO is contracted activity, not funded cash. Oracle's accounting definition includes deferred revenue, uncollected invoices and future billing; certain variable consideration is omitted. S0 OpenAI's announcement corroborates the partnership's scale, upgrading the headline beyond an anonymous press leak. It does not publish the underlying order forms. Row 3's ratios assume an unchanged original amount and comparable scope; they ignore delivery, subsequent orders and amendments. Neither is a measured customer concentration. S&P's separate estimate puts OpenAI at roughly half of May's $638bn RPO; this is an attributed agency estimate, not an Oracle disclosure or an updated August share. S36 Nor does evidence establish Oracle as OpenAI's largest supplier by currently delivered compute; that superlative needs a comparable supplier register.

A signed performance obligation can still depend on Oracle commissioning usable capacity. Customer insolvency can impair recoverability despite contractual liability. Undisclosed acceptance milestones, power conditions, minimum purchases, advances, guarantees and termination rights matter more than backlog. Current revenue diversification says little about future customer concentration.

On October 8, 2026, the FT reported September OpenAI annualized revenue approaching $50bn, versus approximately $70bn previously circulated; the discrepancy was attributed to grossing up partner sales for comparison. The private presentation was not obtained, so this is C-grade, reported, unverified. It weakens any equation of headline revenue with available customer funding, but establishes neither a revenue collapse nor a missed payment. Cash collections, operating costs, available financing and contractual milestones must be compared; a five-year Oracle total and one year's revenue run rate are not comparable cash measures. S35

Corporate versus project financing. The bond deals are Oracle unsecured corporate obligations; issue yields in the table are historical pricing, not October executable yields. The bank revolver is a liquidity backstop with rating-sensitive pricing, not permanent equity. The legacy term loan predates the current build and should not be described as a newly raised Stargate loan. Calendar-year and fiscal-year financing plans overlap; only the $20bn ATM component is confirmed completed in Q1, not the entire approximately $40bn FY27 plan. S12, S13, S14, S15, S0, S2

The FY26 $5bn equity issue was mandatory convertible preferred, carrying a cumulative 6.50% dividend: $0.325bn annually on its liquidation preference, payable in cash, common shares or both. Automatic conversion is scheduled for January 15, 2029 unless earlier converted. Equity financing therefore has cash-cost or dilution consequences; aggregate cash-dividend assumptions must avoid adding preferred dividends twice. S0

The ownership chain matters:

Site Buildings / development capital Compute relationship and limitation
Abilene, Texas Crusoe develops; JV with Blue Owl-managed funds and Primary Digital Infrastructure funds real estate Oracle operates OCI and delivered Nvidia racks for OpenAI. Delivery does not prove legal title to every GPU. S6, S21
Shackelford County, Texas; Port Washington, Wisconsin Vantage develops; ≈$38bn construction loan package, reported separately from Oracle bonds; April distribution nearly complete, October discounted resale indications S44, S45 Oracle supplies OpenAI compute and leases infrastructure. Public announcements do not disclose every SPV, lien or equipment owner. S6, S23
Saline Township, Michigan Related Digital with Blackstone-affiliated equity; $16bn campus financing includes fixed-rate debt anchored by PIMCO-managed funds/accounts (April 2026), after reported Blue Owl withdrawal in December 2025 S42, S49 Oracle tenant serving OpenAI; first of three buildings nearing completion in June 2026 (issuer statement). S43
Doña Ana County, New Mexico, Project Jupiter STACK with BorderPlex and Blue Owl-managed investment; ≈$18bn bank loan reported Oracle intended tenant/operator serving OpenAI; force-majeure notice reportedly seeks deferral if 2028 opening slips; pipeline in-service reportedly February 2027. Rights, GPU title and financing recourse remain undisclosed. S24, S30, S31, S50
Lordstown, Ohio; Milam County, Texas SoftBank/OpenAI development, with SB Energy involved in Milam Stargate branding alone does not make these Oracle liabilities. S6

Customer-supplied GPUs contradict blanket Oracle ownership. Leasing buildings leaves economic exposure even where developer SPVs borrow. Adding project loans, Oracle debt and lease commitments without mapping overlapping claims would double count. The August 31, 2026 filing also lists $34.150bn of unconditional purchase and certain other obligations, including $6.176bn in FY28; these add contractual rigidity but cannot be added wholesale to capex or rent without mapping overlaps. The $288bn of uncommenced leases is future contractual exposure, distinct from recognized discounted lease liabilities. S1

Can the build be funded? (Conditional analysis, C.) The CSV reconciles actual OCF less cash capex. For planning, match gross capex with OCF including advances, or net capex outlay with OCF excluding the corresponding advances, while accounting for manufacturer-financing flows. Subtracting net capex from unadjusted OCF counts customer funding twice. The exact bridge is OCF excluding advances minus net capex outlay = ordinary FCF minus net manufacturer-financing outflow. In Q1 FY27, 11.740−17.966 = −6.226 = −5.396−0.830; the 0.830 is a net financing outflow, not necessarily gross repayments. The two measures therefore differ. S2

The funding sensitivity rolls forward from August 31, 2026 actual liquidity of $37.077bn. It excludes the $2.6bn already reclassified to restricted cash; do not subtract that amount again. FY27 OCF excluding specified advances is assumed at $40–47bn, central $44bn (C), rather than treating one quarter's annualization as guidance. Q1 actual $11.740bn leaves $28.260–35.260bn, central $32.260bn, for Q2–Q4. Dividends are assumed at ≈$6.4bn for FY27 at the post-ATM share count, including preferred dividends; Q1 paid $1.565bn. Scheduled FY27 principal of $7.210bn, less roughly $3.1bn repaid in Q1, leaves ≈$4.1bn. These are planning assumptions, not a complete cash forecast. S0, S1, S2

Q2–Q4 FY27 roll-forward (USD bn) Central scenario Basis
August 31 cash and securities 37.077 Actual, row 10
Remaining net cash capex −52.034 70 ceiling less 17.966 Q1 actual
OCF excluding specified advances +32.260 44 full-year assumption less 11.740 actual
Remaining dividends ≈−4.835 6.4 assumption less 1.565 paid
Remaining scheduled principal ≈−4.1 7.210 less ≈3.1 paid
Closing liquidity without new financing ≈8.4 Before omitted flows and any minimum reserve
Remaining planned financing ≈+20 ATM already received; not counted again
Closing liquidity with remaining plan ≈28.4 Conditional on execution

Across the operating-cash range, closing liquidity is roughly $4–11bn without a raise and $24–31bn with it (B arithmetic/C assumptions). The model does not establish that every dollar is deployable: finance-lease principal, acquisitions, financing fees and other financing flows need separate treatment. Interest and operating rent already enter OCF and must not be added wholesale again. Restructuring costs—up to $2.1bn, plus a subsequent ≈$0.7bn supplement—are not a separate all-cash FY27 charge to add on top of OCF. S1

On a full-year basis, preserving May opening liquidity before restricted-cash reclassification and other financing flows requires 70−(40–47)+6.4+7.210 = $36.610–43.610bn, central $39.610bn. The $2.6bn restriction is an additional use in that full-year bridge, already embedded in the August starting balance. This explains why an approximately $40bn financing plan broadly covers the operating/capex requirement while the August roll-forward still ends below May liquidity. S1, S2, S5

Customer funding is the swing factor. Gross guidance of $90–95bn versus net capex of no more than $70bn implies $20–25bn of offsets (B arithmetic, C as future delivery). A full-year no-offset stress gives a central requirement of $59.610–64.610bn; combining all capex/OCF endpoints gives $56.610–68.610bn. Claude's approximate $60–67bn range is not the full set of endpoints. This annual counterfactual must not erase Q1 funding already received: the gross-to-net Q1 difference was $10.533bn, so loss of only the remaining assumed offsets would add roughly $10–15bn to the forward requirement, subject to manufacturer-financing flows. A quarterly $5–6bn customer-funding benchmark describes the annual scale, not a required Q2–Q4 prepayment rate after Q1's unusually large receipt, and hardware supplied directly need not appear as cash prepayments. S2, S11

Oracle's June statement expected no further debt issuance in calendar 2026. Thus January–May 2027 tests access for the remaining debt component; it does not establish that the entire residual plan must wait, because equity remains possible. S&P's A-3 commercial-paper rating suggests a narrower short-term funding market (C inference); no blanket legal exclusion from commercial paper is established. The $10bn revolver is an available backstop, subject to its terms, rather than a substitute for permanent funding. No verified FY28 capex guidance was found. S5, S36, S0

Delay, nonpayment and loss allocation (conditional analysis, C). A construction delay can leave interest and carrying expenses accruing before compute is billable. In September, Bloomberg reported Oracle's force-majeure notice while carrying both Oracle's statement that the notice did not establish a delay and Blue Owl's assertion that commitments were unchanged. Its report says interim costs could continue even if rent is deferred. That is an unresolved contractual risk, not proof Oracle can walk away. S30

On the September 10 call, management addressed potential New Mexico/Wisconsin delays, phased commissioning and backup options while maintaining guidance. The fetched remarks describe construction at both sites as on track; this does not support an unqualified admission that both sites were delayed. S11 On September 30, 2026, Oracle and STACK acknowledged flooding at Jupiter but reported no damage to critical infrastructure and reaffirmed the planned schedule. On October 15, Oracle/YGI proposed a fuel-cell operating cap intended to cut projected permitted emissions by about 35% while preserving IT capacity; the air-permit application remained pending. These issuer statements supply schedule counterevidence and a mitigation proposal, without independently confirming completion or permit approval. New Energy Economy filed its dismissal motion October 14. The October 16 notices set dismissal motions for October 26 at 8:30am MDT and discovery motions for October 29 at 8:30am MDT. The second amended order sets the permit hearing for December 7 at 9am in Sunland Park, with technical testimony November 17 and rebuttal November 30. These are older orders newly checked October 21. The reported November 23 decision deadline may require extension, but scheduling a December hearing does not establish that the deadline is moot or legally extended. S33, S32, S40, S41, S56, S57, S58

Oracle’s October 2, 2026 Point Beach proposal would absorb approximately $300m of rising power costs, subject to Wisconsin commission approval. It supports reliable power procurement while adding an economic burden; the release gives neither an annual cost nor an increment to the existing spending model, so adding it directly to FY27 spending would be unsupported. S34

If OpenAI cannot pay, Oracle first loses collections and utilization while retaining obligations unless contracts provide relief. Shareholders absorb lower profit, impairment and dilution; corporate creditors are exposed if cash resources and refinancing fail. Project equity is economically junior to its secured lenders, but recoveries depend on guarantees, completion support and tenant claims. Unsold construction loans remain with underwriting banks; distributed loans move exposure to buying funds, insurers or other lenders. Blue Owl-managed fund investors should not automatically be conflated with Blue Owl's corporate balance sheet. Paid chip vendors may have transferred much of the demand risk, while equipment owners retain obsolescence and resale risk. The actual waterfall cannot be resolved without private loan and lease documents.

Rating headroom (B evidence/C interpretation). The reported S&P downgrade tests sit close to its own FY27 leverage forecast (row 52), leaving little margin for commissioning or customer-funding disappointments. The stable outlook still assumes a path to cash generation and continued access to debt/equity; the forecasts are agency estimates, not audited outcomes. Moody's negative outlook adds a separate warning. Fitch's much earlier cash-flow forecast differs materially (see Conflicts). On October 19, S&P's Habib warned that interconnected financing obscures liabilities, without estimating a hidden-debt total or finding rating changes warranted now. This adds opacity commentary; the capex/FCF thesis predates this update. S36, S38, S39, S55

What securities discount (interpretation, C). Equity trades at a moderate multiple of near-term adjusted earnings and a much lower multiple of distant targets. Time value, dilution and non-GAAP adjustments prevent treating those comparisons as price targets. S20 CDS and the disclosed debt fair-value discount indicate materially more demanding financing conditions. The latter also reflects interest rates and duration, not solely expected credit losses. Neither measure directly gives default probability. Current executable bond yields were not verified.

Conflicts and open questions

  • Jupiter deadline versus hearing date: the October 16 order establishes a December 7 permit hearing, beyond the November 23 deadline reported October 15. It does not establish that the deadline is moot or legally extended. The extension or other legal reconciliation needs a separate ruling or authoritative explanation; October 26 dismissal and October 29 discovery hearings are distinct proceedings. S41, S56, S57, S58

  • Latest CDS versus prior peaks and rating action: the newly recovered October 21 308.25bp CNBC/FactSet snapshot is below the distinct October 19 315bp (CNBC) / 322bp (FT) observations. This qualifies any reading of the note’s earlier widening sequence as uninterrupted widening through October 25; unsynchronized vendors/times do not support a precise daily change. Reuters’s October 22 “near a record” description provides no replacement numerical fixing. Neither CDS pricing nor S&P’s October 19 opacity warning establishes a fresh downgrade; last verified agency actions remain dated. No newly dated October 21–25 Oracle cash-bond price/yield was established, so the August fair-value proxy is not a current trade. S59, S53, S54, S55, S61

  • Review judgements differ: Claude's October 18 cross-check calls Oracle overextended relative to its rating and its own cash generation, while liquid, based on rating headroom and dependence on customer/capital-market funding. The October 17 Codex cross-check calls it conditional financial fragility with unresolved project returns, finding no quantified inability to refinance or expected project loss. The Summary adopts Claude's explicitly C-grade judgement; Codex's objection remains unresolved without contract-level waterfalls and realized returns. Both accept the cash deficit and meaningful counterevidence from equity execution, demand and customer funding. Claude review, Codex review

  • Software cash attribution: the original Summary said the profitable software franchise could not fund the build. The cross-check accepts the consolidated deficit but finds software's separate cash contribution unmeasured; the revised Summary uses consolidated OCF and capex rather than treating that attribution as established. S2

  • Funding-model interpretation: Codex verified the earlier May-based arithmetic but treated annualized Q1 cash and flat dividends as sensitivities requiring an actual-Q1 roll-forward. Claude supplied that roll-forward, lower central OCF and higher dividends. It is now used above, retaining Codex's manufacturer-financing bridge and cash-forecast limitations. Claude's ~$60–67bn annual stress does not span all assumption endpoints (~$57–69bn), and a forward stress must retain advances already received. Its “remaining ~$20bn falls in January–May” inference applies to debt; the issuer's statement does not rule out earlier equity. S1, S2, S5; both independent reviews

  • Fundability versus leverage: completed equity issuance, actual customer advances and supplied hardware contradict a debt-only funding narrative. They also transfer obligations to future service periods; continued funding availability remains uncertain.

  • Margins versus obsolescence: management's 30–40% range, 35% example, reported 97.9% multi-tenant utilization and stronger selected renewal pricing challenge the low-margin extrapolation. None establishes a complete, audited return after financing and replacement investment. S26, S11

  • Insider profit-taking versus conviction: the verified Catz example accompanied option exercise under a prearranged plan. It proves a sale, not advance knowledge of failure. Ellison's cancelled plan and Rusckowski's September purchase are counterevidence; Sicilia's September sales were under a December 2025 plan. These selected transactions do not establish a complete, deduplicated insider-sale total or insiders' motives. S27, S28, S46, S47, S48

  • Dating and source limits: the Jupiter stress article retrieved was September reporting, not a newly verified mid-October FT investigation. S&P's original page was located but its substantive text was inaccessible; the downgrade is secondary grade B. Moody's and Fitch observations are explicitly dated, not certified unchanged through today. The private contract, current bond yields and exact GPU ownership remain unresolved. Indexed excerpts and republications supplement inaccessible pages.

  • Schedule: Oracle/STACK maintained Jupiter's schedule September 30, while Claude read the September 10 call as acknowledging New Mexico/Wisconsin delays and reporting put pipeline gas in February 2027. The fetched transcript instead describes both sites' construction as on track while discussing delay contingencies; a delayed pipeline and maintained campus schedule can coexist. Codex treated the September 30 statement as counterevidence, not proof of completion. Keep all three clocks—construction, power and billable service—separate. S11, S33, S50; both independent reviews

  • Agency forecasts diverge: S&P reportedly forecasts FY27 FOCF near −$42bn and a positive-FOCF path by FY2029; Fortune's commentary reads the test as FY2028. Fitch's February forecast was roughly −$18bn of FY27 pre-dividend FCF. Different dates, capex assumptions and agency definitions prevent interpreting the gap as a like-for-like error. Primary S&P action text is still needed to resolve the FY28/FY29 discrepancy. S36, S37, S39

  • Ranking: “most leveraged large AI builder” is plausible within a narrowly defined hyperscaler peer group, but this note does not establish that ranking using uniform lease-adjusted leverage. It does establish substantial financing and counterparty exposure without that superlative.
