## Summary

- At June 30, 2026, Alphabet's measurement-alternative private holdings were $124.259bn, primarily one company reported to be Anthropic (identity reported, unverified, C). A separate $20bn milestone-contingent funding commitment names no recipient. Alphabet is also Anthropic's TPU/cloud supplier; Reuters reports at least $111.1bn of Google spending through July 2033 (unverified, C). These links expose investment marks and commercial demand to the same counterparty [S6], [S19], [S21], [S46], [S47].
- In Q2 2026, Cloud revenue reached $24.768bn, up 82%, with a 35.6% operating margin. Management said growth accelerated even excluding the first external TPU system sales. Their contribution is unquantified and shared model research sits partly outside the segment; Q3 2026 is the first test of management's planned expansion of third-party bridge capacity and associated margin pressure. On October 21, OpenAI frontier models entered private preview with Codex integration and Marketplace purchases eligible against existing GCP commitments; this extends distribution without disclosed incremental revenue [S7], [S10], [S51], [S52].
- At June 30, 2026, cash and debt securities excluding current marketable equities were $155.411bn. July's $195–205bn annual capex guidance exceeds trailing OCF of $185.675bn; H1 FCF was positive $4.261bn, but Q2 was negative $5.855bn. Another $25bn of bonds closed August 10. Liquidity and completed financing support near-term financeability; full-year operating-cash coverage is unproven [S6], [S7], [S10], [S44].
- June 2026 net equity proceeds were $49.6bn, alongside substantial bond issuance. The separate $40bn ATM was unused at June 30; on August 6 its manager roster expanded from 3 to 16, without evidence of receipts. Its primary intended use is employee-equity taxes, with other proceeds available for general corporate purposes. H1's selected cash uses, including acquisitions and net private investments, exceeded operating cash by $67.107bn [S6], [S7], [S11], [S13], [S45].
- Q2 2026 Search & other revenue was $63.271bn, up 16.8% year over year. AI can defend advertising profits and improve ad matching, giving Alphabet a return channel beyond selling tokens; reported Search growth does not isolate incremental AI profit [S7], [S10], [S15].
- Maximum contingent data-center exposure was $43.785bn at June 30, 2026. A separate $5.8bn non-cancelable short-term lease starting Q3 is consistent with SpaceX's disclosed $920m-a-month Google compute contract, terminable on 90 days' notice after December 31, 2026 (linkage inferred, B). Alphabet also held about $94.1bn of SpaceX shares. Backstop notional is not expected loss; overlapping obligations must not be added to capex guidance [S6], [S43].
- At June 30, 2026, Cloud backlog was $513.9bn and trailing FCF was $53.273bn. The reported $111.1bn Anthropic commitment would equal 21.6% of that backlog if fully included; inclusion and comparable measurement dates are unverified (C). The test is whether bookings become cash fast enough to support the $195–205bn 2026 capex plan and the further increase expected in 2027 [S6], [S7], [S10], [S47].
- Q2 2026 equity-security gains were $99.031bn, including $77.354bn on private holdings and $21.399bn on marketable and other equities. The release attributes $77.1bn of net income, about 69% of the $112.193bn total, to the equity gains. These largely unrealized marks are not operating cash and make unadjusted GAAP P/E a poor measure of underlying returns [S6], [S7].

## Analysis

**Funding capacity and investment returns are different questions.** The [CSV](/data/alphabet-capex.csv) records cash purchases of property and equipment, not AI-only spending or depreciation. It also provides operating and free cash flow. Finance-lease additions and third-party capacity costs require separate treatment; hardware inventory for resale consumes operating cash rather than owned-fleet capex [S6], [S10].

Alphabet remains strongly profitable, with advertising financing much of the infrastructure expansion. However, the latest spending plan outruns trailing operating cash generation. The sensitivity in claim 8 holds second-half OCF at half its trailing annual amount, subtracting remaining guided capex. It illustrates a $21.5645–31.5645bn draw before stock-award payments, dividends, acquisitions and investments; comparing annual guidance with trailing OCF does not predict full-year cash coverage. H1 FCF was still positive, despite the negative Q2 result. Q2 inventory absorbed $6.696bn of operating cash, and management explained the TPU inventory build ahead of deliveries. That working-capital timing helps explain cash/margin divergence; it is already in FCF and must not be subtracted again. One negative quarter does not establish deteriorating unit economics [S7], [S10].

The equity raise, bond issuance and halted buybacks strengthen that conclusion. Capital returns were already adjustable; funding is now deliberately diversified. The preferred ultimately converts into common equity, placing losses on equity holders without a conventional principal refinancing cliff. Its dividend and capped-call cost still consume value. The ATM is neither committed lender funding nor cash already available. Management's stated intention not to raise further non-ATM equity is a signal to monitor, not a binding limit. The August 6 supplement widened the manager roster to 16 without changing the $40bn limit; this prepares distribution capacity but does not establish sales [S10], [S11], [S12], [S13], [S45].

Reported FCF also excludes financing-classified stock-award cash payments. H1 2026's $12.056bn of payments exceeded its $4.261bn FCF, leaving −$7.795bn before dividends on this adjusted measure. This makes the ATM's intended employee-equity tax use economically significant; the prospectus also permits additional proceeds for general corporate purposes [S7], [S13].

H1 cash use was broader than capex. Including stock-award payments, dividends, acquisitions/intangibles and net non-marketable investment purchases, the selected uses exceeded operating cash by $67.107bn (claim 55, B). Acquisition cash outlays include Wiz; its $29.467bn purchase price includes $0.660bn of acquired cash and is not an additional use to subtract. Funding included $49.562bn of equity, $50.973bn of net debt proceeds and $3.758bn of consolidated-entity interest sales. Thus strategic acquisitions and investments, as well as infrastructure, accompanied the financing need; proceeds are fungible, so this does not assign the equity raise to a specific purchase. This bridge excludes marketable-security trading and other cash-flow items and is not a full change-in-cash reconciliation [S6], [S7].

August financing continued after the reporting date: $25bn of senior notes closed on August 10, with $1.25bn floating and $23.75bn fixed at a weighted coupon of about 5.61%. Adding the issue to June debt face gives $126.085bn pro forma, before later repayments, FX and other changes; there is no matching August liquidity balance here. The top fixed coupon rose to 6.50% versus 5.75% on H1 USD notes, but maturity mix and market rates prevent reading that as a pure credit-spread change. June notes had $94.9bn fair value against $101.085bn face; Q2 interest expense of $1.278bn annualizes to $5.112bn before the August borrowing, not a forward interest forecast [S6], [S44].

Headline liquidity also needs adjustment. Excluding marketable equities leaves a substantial cash-and-debt-security cushion; the $55.247bn balance after funded debt is before leases and other obligations. Restricted strategic holdings cannot be treated as immediately spendable cash at their marked values. The near-term build looks financeable after completed financing, conditional on collections and other cash uses. Sustained increases in spending require continued cash growth, reserve use or further issuance [S6].

**Search changes the return calculation.** A lab selling API calls must recover its costs from customers paying for models. Google can also earn through better advertising matches, additional commercial queries and protection of existing Search distribution. Management describes monetizing longer queries and testing conversational ad formats [S10]. Maintaining the advertising franchise can be an economically valuable AI outcome even where a chatbot has little direct revenue.

The counterfactual is crucial: reported Search growth does not reveal what Search would have earned without generative AI. AI Overviews' claimed monetization parity measures revenue, not contribution after inference cost. AI Mode's query expansion could include substitution from traditional searches. Its ads are still evolving. Gemini app MAU and aggregate token counts therefore establish adoption, not paid demand or cash margins. Across-surface monthly tokens and API tokens per minute have different coverage; multiplying one into the other produces a misleading revenue estimate [S15], [S16].

The regulatory path affects this advertising return channel, but procedural developments do not themselves quantify a profit loss. The October 13, 2026 filing is plaintiffs' proposed Search syndication template, with Google's objections unresolved and some financial terms redacted, rather than a new final court order [S42].

**Cloud and silicon provide stronger commercial evidence, with qualifications.** Revenue growth and operating margin expansion contradict a thesis that demand is entirely speculative. Nevertheless, Cloud includes Workspace, conventional infrastructure and now delivered TPU systems. Hardware sales recognize revenue differently from recurring consumption. Backlog likewise combines services and systems and changed reporting scope. Delivery schedules and counterparty payment capacity determine whether bookings become cash [S9], [S10], [S14].

The counterevidence to a purely speculative-demand thesis is stronger than consumer activity alone: management said Cloud growth accelerated excluding TPU sales, that the majority of backlog relates to typical GCP contracts across a broad mix of customers, and, in discussing paid usage on July 22, reported nearly 500 customers each processing over 1tn tokens and more than 2,000 enterprises over 100bn in the preceding year. Those groups overlap. The Q1 short-duration addition was $7.3bn of $467.6bn total RPO, so the definition change does not explain most of the pipeline. Realized revenue per token, customer self-funding and fully allocated AI margins remain undisclosed. The September Anthropic report adds an indicative concentration sensitivity, rather than a disclosed backlog composition (claim 52) [S10], [S14], [S35], [S47].

On October 8, Google said nearly 80% of Cloud customers use its AI products and announced a universal Gemini agent with third-party model choice, routing and project spending caps. This extends enterprise distribution evidence, without revealing AI revenue share, paid seats or deployment profitability. Cost controls also weaken any proportional extrapolation from token volumes to revenue [S41].

The TPU advantage is credible as a mechanism: Google can co-design silicon, interconnect, compiler and models, avoid some merchant-vendor margin and reuse infrastructure across internal and external workloads. Broadcom remains a supplier capturing part of that economics. Google's performance comparisons are vendor statements; the cited TCO percentages are analyst assumptions, not disclosed manufacturing costs or audited returns. Software porting, useful utilization and workload suitability can overwhelm a per-chip comparison [S17], [S18], [S21].

Ironwood is no longer the latest announced generation. Google's April 22 TPU 8t/8i announcement claims up to 2.7× training performance per dollar and up to 80% better inference performance per dollar versus Ironwood. These vendor comparisons update the roadmap; they do not demonstrate realized savings or that deployed older chips are economically obsolete [S38].

Selling systems externally also changes who finances the fleet. It can shift asset ownership and utilization risk to buyers, while leaving Google with inventory, delivery and support obligations. The named Meta rental remains reported. The Anthropic announcements verify planned TPU access and subsequent capacity expansion, without establishing the precise sales/rental split or realized payments. Do not count Broadcom shipments and Google hardware or cloud receipts as separate end-user demand [S19], [S21], [S33].

External financing is already a concrete announced mechanism: on May 18, Blackstone committed $5bn of equity from its managed funds to a Google TPU cloud venture targeting 500MW online in 2027, with Google supplying hardware, software and services. This brings outside equity into the silicon ecosystem; the releases do not establish that Google retains no residual risk or that the planned capacity has been delivered [S36], [S37].

**Overextension is most visible in commitments and correlated counterparties.** Alphabet is simultaneously supplier, strategic investor and credit supporter. The filing's aggregate data-center backstops are much larger than the cited TeraWulf examples. Their notional is maximum contractual exposure, not expected loss or additional funded debt. Lease-assumption and termination rights may preserve value, but a sector-wide demand disappointment could make substitute tenants scarce. Purchase commitments and uncommenced leases further reduce spending flexibility; simply adding these overlapping categories would exaggerate exposure [S6], [S23], [S24], [S25].

The larger correlated exposure may run through investments and commercial commitments rather than backstops alone. At June 30, measurement-alternative private holdings were $124.259bn, primarily one unnamed company; Bloomberg reports that company is Anthropic (C). Cost of $47.642bn plus cumulative upward adjustments of $85.732bn less downward adjustments of $9.115bn explains the portfolio carrying value, not an independently valued Anthropic stake. Alphabet separately has a $20bn milestone-contingent private-company funding commitment through 2030, accounted for as an equity derivative with $0.457bn liability fair value; the recipient is unnamed. Reuters reports Anthropic must spend at least $111.1bn with Google between April 2026 and July 2033 or pay the shortfall (reported, unverified, C). If fully present in June Cloud backlog, it would equal 21.6%; inclusion and comparable timing are not established. Anthropic disappointment could therefore correlate equity-mark reversals, weaker collections, TPU volumes and conditional funding, without proving those losses or allowing these exposures to be summed [S6], [S19], [S21], [S46], [S47].

Capacity timing adds a distinct but potentially reversible cost. The June filing discloses a $5.8bn non-cancelable short-term lease starting Q3 2026. SpaceX's June 5 FWP discloses a Google compute contract for about 110,000 Nvidia GPUs at $920m per month from October 2026 through June 2029, with a reduced-fee ramp through September. Either party may terminate on 90 days' notice after December 31, 2026: an ordinary minimum of roughly six full-rate months, $5.52bn plus ramp, is consistent with the $5.8bn lease. Alphabet does not name the lease counterparty, so the linkage is B inference. Google also has termination or proportional repricing rights if SpaceX misses the September 30 delivery target after a one-month grace period. The $30.36bn full-rate term total applies only if the contract continues; it is not the non-cancelable floor. Q3 Cloud margin and delivered capacity are the first tests of the bridge strategy [S6], [S10], [S43].

Alphabet also held about $94.1bn of SpaceX shares at June 30: $80.0bn restricted short term and $14.1bn restricted through Q3 2027. At full rate the Google contract annualizes to $11.04bn of payments to a company whose valuation also affects Alphabet's investment income. This couples capacity cost and equity exposure, while the cancellation right limits the duration of mandatory bridge spending [S6], [S43].

On October 6, Finland's LVV requested suspension of environmentally significant preparatory work at Muhos and Kajaani immediately and no later than October 23, pending environmental assessment, seeking voluntary compliance before possible coercive enforcement. These sites form part of Google's announced at least €13bn Finnish investment for 2027–2028. This is a permitting and delivery-risk signal, with no quantified delay, loss or group guidance change; it is neither a completed permanent shutdown nor incremental 2026 dollar capex [S39], [S40].

Common shareholders absorb disappointing returns through lower free cash flow, dilution and impairments. Preferred holders participate through eventual conversion. Senior unsecured bondholders have claims on the diversified parent. Google backstops can protect project lenders by moving specified tenant-default exposure onto Alphabet. Six-year depreciation spreads expense beyond cash outlay; it does not establish that accelerators retain economic usefulness for that period [S8], [S12].

Assets not yet in service rose from $78.592bn at December 31, 2025 to $122.814bn at June 30, 2026. Their depreciation has yet to start, so current earnings lag cash deployment; the pipeline implies future expense as well as capacity still to enter revenue-producing service. About 60% of technical infrastructure assets in service is servers and network equipment, generally subject to the six-year life; the remainder includes land and buildings. This is an asset-stock mix, not the quarterly capex mix, and the mixed balance awaiting service cannot all be divided by the six-year server life [S6], [S8].

**The stock requires cash recovery.** The market-value/FCF ratio compares the latest close with reported trailing cash flow. It implies expectations that current cash compression will ease and that Search profits and Cloud returns persist. Q2 equity gains added $77.1bn to net income, 68.7% (about 69%) of the $112.193bn total. The $99.031bn gain comprises $77.354bn of private unrealized net gains, $21.399bn of marketable/other unrealized net gains and $0.278bn realized; the filing attributes the gains primarily to SpaceX and an unnamed private company reported as Anthropic. Private and marketable/other unrealized gains account for 78.1% and 21.6% of equity gains, respectively; total equity gains equal 71.4% of pre-tax income. The release attributes $21.9bn of tax expense to these gains; Q2's $20.618bn deferred-tax cash-flow adjustment is a separate measure. Unrealized appreciation is not operating cash, and tax timing depends on realization and applicable rules. These marks make an unadjusted earnings multiple particularly unhelpful and expose EPS and book equity to investee valuations. The price alone cannot identify the growth path investors assume. A defensible valuation needs normalized operating earnings, future maintenance spending and product-level returns, none disclosed sufficiently here [S6], [S7], [S29], [S30].

Model execution is also under legal scrutiny. The docket mirror records Stewart v. Alphabet filed October 2, 2026; plaintiff-side materials allege undisclosed Gemini 3.5 Pro training problems and delays during May 19–July 16 (unproven, C). The June common offering falls within that proposed period, and the October 16 Class A close is 4.1% below its $355.1982 public issue price. That arithmetic does not establish causation or damages. The case is a signal to verify model competitiveness and disclosures, with no quantified financial exposure established here [S48], [S49], [S13], [S30].

## Conflicts and open questions

- **Cash coverage — original note and cross-check:** the original Summary called the build “comfortably financeable” but no longer comfortably covered by current OCF. The independent cross-check agrees that liquidity and completed financing support near-term financeability, but finds that wording too confident without a full dated cash bridge: H1 FCF was positive $4.261bn while Q2 was −$5.855bn, and the $195–205bn annual guide versus $185.675bn trailing OCF compares different periods. Full-year coverage remains unproven [S6], [S7], [S10]; [independent review](/reviews/alphabet-codex-xcheck).
- **Demand — different weight on the same uncertainty:** the original note stressed hardware mix, backlog scope and the inability of consumer tokens/MAU to prove paid demand. The cross-check gives greater weight to non-hardware growth acceleration, paid enterprise usage and the majority GCP backlog characterization; it regards the evidence against wholly speculative demand as stronger. Claude disputes Codex’s “vast majority” wording and verified “majority” in prepared remarks; this note uses the latter. A fetched transcript reproduction also contains the stronger wording in Q&A, so the stronger characterization is not conclusively refuted. The primary call page was blocked on re-fetch; both review readings are preserved pending direct audio/transcript reconciliation. Neither wording discloses customer concentration or proves adequate returns [S10], [S14], [S35], [S41], [S50]; [Codex review](/reviews/alphabet-codex-xcheck), [Claude review](/reviews/alphabet-claude-xcheck).
- **Execution and outside capital — different emphasis:** the original note treated near-term funding as manageable and external system sales as a potential transfer of fleet risk. The cross-check is more conditional about cash coverage and timing because of the short-term lease, assets awaiting service and Finnish permitting intervention; it also treats Blackstone's announced venture as a present external-capital mechanism. Claude gives less weight to bridge lock-in: the newly identified SpaceX contract permits 90-day termination after December 31, limiting ordinary minimum spending to roughly $5.5bn plus ramp. Its match to Alphabet’s $5.8bn lease remains an inference, whereas Codex had left the counterparty unidentified. Permitting and delivery risk remain, and neither review proves failure or absence of residual Google risk [S6], [S36], [S37], [S39], [S40], [S43]; [Codex review](/reviews/alphabet-codex-xcheck), [Claude review](/reviews/alphabet-claude-xcheck).
- **Ranking uncertainty:** the original Summary called cash return on the expanding capital base the “biggest” uncertainty. The cross-check considers that directionally supported but finds no evidence that precisely ranks it above all other risks. The revised Summary therefore states the dated backlog-to-cash test while leaving the ranking open; both assessments find adequate investment returns unproven [S6], [S7], [S10]; [independent review](/reviews/alphabet-codex-xcheck).
- **Strong demand versus aggressive supply:** accelerating Cloud and positive segment economics support investment; rising guidance and third-party bridging capacity raise its cost. Shared model R&D outside Cloud means segment margin overstates a standalone model-plus-cloud return. Hardware revenue and margins need separate disclosure [S7], [S10].
- **Backlog versus bankable revenue:** the contractual pipeline is substantial, but includes hardware and a broader reporting definition. Codex found no reconciled customer-concentration figure; Claude highlights Reuters’ reported $111.1bn Anthropic commitment, equivalent to 21.6% of June Cloud backlog if fully included (C). This is an indicative sensitivity, not a disclosed backlog share or a reconciliation of contract dates. Prepaid cash, collateral and customer funding dependence remain unresolved. Backlog is neither cash nor profit [S6], [S9], [S14], [S47]; [Codex review](/reviews/alphabet-codex-xcheck), [Claude review](/reviews/alphabet-claude-xcheck).
- **Correlated-risk emphasis — Codex and Claude:** Codex emphasizes $43.785bn of credit support, the expense pipeline and unproven capital returns; Claude considers the larger concentration to be the reported Anthropic nexus across private equity, conditional funding, backlog and TPU supply. The $124.259bn carrying value is a portfolio amount, its principal investee’s identity is reported (C), and the $20bn conditional recipient is unnamed. Neither review supports adding these balances into a single loss estimate [S6], [S19], [S21], [S46], [S47]; [Codex review](/reviews/alphabet-codex-xcheck), [Claude review](/reviews/alphabet-claude-xcheck).
- **Earnings-tax attribution:** Claude describes $20.6bn of deferred tax as created by investment gains; the release separately reports a $20.618bn deferred-tax OCF adjustment and a $21.9bn increase in tax expense attributable to equity gains. The former is not a disclosed attribution of the entire cash-flow line to those gains; this note keeps both measures distinct [S7]; [Claude review](/reviews/alphabet-claude-xcheck).
- **Model-delay allegations:** the October 2 action and proposed May 19–July 16 class period are corroborated by a docket mirror and plaintiff-side notice. The training/delay assertions remain unproven (C), and offering-period overlap does not establish liability or loss [S48], [S49].
- **Anthropic investment mismatch:** Reuters reports the larger conditional package; the filing names neither the recipient of its conditional commitment nor a reconciliation. Do not assign that commitment to Anthropic or assume the reported package has all been funded. Independent end-customer cash generation would resolve the circularity concern [S6], [S22].
- **Backstop understatement in existing research:** TeraWulf releases supersede the smaller cited total. Later projects and Alphabet's aggregate disclosure show broader exposure, but a complete project-by-project reconciliation is unavailable. Public recognition agreements give Google a termination-payment or lease-assumption choice following specified defaults [S23], [S24], [S25], [S34].
- **Regulatory downside remains live:** Search remedies reach Gemini distribution and require sharing and syndication. Appeals coexist with implementation work. The October 13, 2026 Search filing is plaintiffs' proposed syndication template, with Google's objections unresolved and some financial terms redacted; it is not a new final order or a disclosed profit impact. September ad-tech relief preserved the integrated business while imposing operating changes. Neither absence of breakup nor an appeal eliminates future margin and distribution risk [S26], [S27], [S28], [S32], [S42].
- **Unverified:** TPU realized TCO, Meta contract size/term, exact Anthropic equity ownership and funded consideration, product-specific AI Search margins, and post-report ATM sales. Nasdaq's fetched price pages returned no data; the valuation snapshot uses explicitly secondary market data. No unpublished Q3 results are assumed.
